These Terms & Conditions (“Terms”) govern your access to and use of the SARAGIRE website (saragire.co.tz) and the supply of products and services in Forest, Commodities, and Logistics. By requesting a quote, placing an order, or using our site, you agree to these Terms.
These Terms are a general template for typical transactions. Specific contracts, purchase orders, or service agreements may supplement or override parts of these Terms.
1) Definitions
“SARAGIRE”, “we”, “us”, “our” means the supplier identified on the quote or invoice.
“Customer”, “you”, “your” means the person or entity requesting a quote or purchasing goods/services.
“Goods” means forest products and commodities supplied by SARAGIRE.
“Services” means logistics and related services (e.g., road freight, clearing & forwarding, documentation).
“Contract” means an accepted quote, purchase order, or written agreement referencing these Terms.
2) Scope & Applicability
These Terms apply to all site use, quotes, orders, and supplies unless a signed agreement states otherwise.
- Products/services, specifications, quantities, grades, packaging
- Price and currency, taxes/duties, Incoterms or delivery terms
- Origin/destination, delivery windows/ETAs, documents required
- Payment terms and any security (deposit/LC/guarantee)
3) Quotes, Orders & Pricing
- Quotes are invitations to treat and valid only for the period shown; availability may change.
- Orders are subject to acceptance (written confirmation or invoice issuance).
- Pricing excludes taxes, duties, permits, inspection, or third-party fees unless stated.
- We may correct obvious errors (typographical or arithmetical) in quotes or invoices.
- Where applicable, Incoterms® are as stated on the quote/contract.
4) Payment Terms
- Payment methods and timing are per quote/contract (e.g., advance, milestone, LC).
- Late payments may attract interest and/or suspension of deliveries.
- You are responsible for bank charges, exchange differences, and financing costs unless agreed otherwise.
5) Delivery, Risk & Title
- Delivery windows/ETAs are estimates; we’ll communicate changes promptly.
- Risk passes per the agreed delivery term/Incoterm (e.g., on handover to carrier).
- Title to goods transfers upon full payment unless agreed otherwise.
- Partial shipments and reasonable substitutions may occur with your consent.
6) Inspection & Claims
- Inspect goods upon delivery and note visible issues on delivery documents.
- Report quality/shortage claims promptly with supporting evidence (photos, batch IDs, weights, moisture, etc.).
- Our remedy may include replacement, rework, or credit, proportionate to the validated issue.
7) Specifications & Quality
- We supply to the specifications stated in the contract (dimensions, moisture/grade, packaging).
- For timber: industry-standard tolerances apply (knots, wane, splits within grade limits; moisture targets ± agreed range).
- For grains: cleaning and grading per contract/grade; weights subject to standard scale tolerances.
8) Logistics & Documentation
- Services may include road freight, clearing & forwarding, and documentation.
- You must provide timely information/permits. We may rely on third-party carriers, depots, and agents.
- Transit times depend on route, border posts, and external conditions (weather, inspections, congestion).
- Unless agreed otherwise, we are not responsible for consequential losses due to delays at borders or by authorities.
9) Compliance & Sanctions
- Both parties will comply with applicable laws and regulations (e.g., forestry, phytosanitary, customs, TBS, safety).
- Anti-bribery and anti-corruption standards apply; no facilitation payments or improper advantages.
- We will not transact where prohibited by sanctions or trade controls.
10) Warranties & Disclaimers
- We warrant that goods/services will materially conform to the contract at delivery/performance.
- Except as stated, we disclaim all other warranties to the extent permitted by law.
11) Liability & Indemnity
- Neither party excludes liability for fraud, willful misconduct, or personal injury caused by negligence.
- Subject to the above, our aggregate liability under a contract is limited to the amount paid for the relevant goods/services.
- No liability for indirect, incidental, special, or consequential losses, including loss of profits, production, or business.
12) Force Majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, strikes, war, civil unrest, epidemics, government actions, border closures, or major transport disruptions. Affected party will notify the other and use reasonable efforts to mitigate.
13) IP & Confidentiality
- All intellectual property in our materials, site, and brands remains with SARAGIRE.
- Non-public information exchanged for a contract is confidential and must not be disclosed without consent or legal requirement.
14) Data Protection & Privacy
We handle personal data according to our Privacy Policy. By engaging us, you acknowledge that policy.
15) Suspension & Termination
- We may suspend or cancel deliveries/services for non-payment, suspected fraud/illegality, or material breach.
- Either party may terminate for cause if the other fails to cure a material breach within a reasonable period after written notice.
16) Governing Law & Dispute Resolution
These Terms and any non-preprinted contract documents are governed by the laws of the United Republic of Tanzania, without regard to conflict-of-laws rules. Disputes shall be subject to the exclusive jurisdiction of the courts of Tanzania, unless the parties agree in writing to arbitration or another forum.
17) Changes to Terms
We may update these Terms from time to time. The “Last updated” date shows when changes were made. If you continue to use the site or proceed with an order after changes, you accept the updated Terms.
